Freedom of contract in limited liability companies The limits of freedom of contract in LLCs articles of organization are analized with a particular attention to rules not explicitly qualified as mandatory, which provide rights to the members. The extent to which the members can set different regulations is defined in the light of the interests protected by the law. Corporations and Associations Law
Financial statement regulation The regulation of financial statement passed by annual meetings of corporations and limited companies is analyzed taking in account the essential purposes of the reports and the specific features of such entities. Commercial Law
Equity based crowdfunding Crowdfunding regulation is analyzed adopting the perspectives of investor protection as well as of corporate governance issues. These issues arise by the participation to the company of a large number of investors. Commercial Law
Cooperation of a relative in a business (articles 230 bis and 230 ter civil code) The regulation applicable when a relative of the enterpreneur cooperates in the business without a contract between him/her and the owner is analyzed in the light of the different interests involved. The topic is relevant both by a labour law and by a commercial law perspectives. Commercial Law
